SyncOn TERMS OF SERVICE AND END USER LICENSE AGREEMENT (“EULA”)
This End-User License Agreement(EULA) is a legal agreement between you (either an individual or a single entity) and AxiCom Technologies Inc. for SyncOn (the software product) identified above, which includes computer software and may include associated media, printed materials, and “online” or electronic documentation (“SOFTWARE PRODUCT”). By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bounded by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the SOFTWARE PRODUCT.
SOFTWARE PRODUCT LICENSE
SyncOn is being licensed to fleets of trucks and/ or individual drivers. Its may be downloaded from a server or sent via e-mail.
GRANT OF LICENSE
This EULA grants you the following rights: Installation and Use of one SyncOn software licensed per one mobile device such as Tablet or Smart phone or Note Book. Optionally SyncOn may be packaged with API’s to communicate to a fleet management and/ or dispatch application.
REPRODUCTION AND DISTRIBUTION
SyncOn includes confidential and proprietary information of AxiCom Technologies Inc. The SyncOn can be used as a stand-alone product installed on any smart phone and/ or tablet and/ or note book (jointly mobile device). Optionally it can be integrated into any 3rd party fleet management and/ or dispatch server application. The SyncOn is provided with communication protocols between the mobile device and the server and with the API’s for integration into the server. The end user and/ o the integrator is committing directly or indirectly not to copy and/ or not to reverse engineer and/ or decompile, and/ or disassemble and/ or not to transfer the SyncOn screens on the mobile device the link between the screens and overall system methodology and the communication protocols and API’s between mobile device and the server to any 3rd party without proper protection such as this EULA.
SEPERATION OF COMPONENTS
The SOFTWARE PRODUCT is licensed as a single product. Its component parts may not be separated for use on more than one mobile device.
TERMINATION
Without prejudice to any other rights, AxiCom Technologies Inc. may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts.
COPYRIGHT
All title and copyrights in and to the SOFTWARE PRODUCT (including but not limited to any images, photographs, clipart, libraries, and examples incorporated into the SOFTWARE PRODUCT), the accompanying printed materials, and any copies of the SOFWARE PRODUCT are owned by AxiCom Technologies Inc. The SOFTWARE PRODUCT is protected by copyright laws and international treaty provisions. Therefore, you must treat the SOFTWARE PRODUCT like any other copyrighted material.
NO LIABILITY FOR DAMAGES
In no event shall AxiCom Technologies Inc. be liable for any special, consequential, incidental or indirect damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use this Software Product, even if AxiCom Technologies Inc. is aware of the possibility of such damages and known defects.
